Oasis Urges Nidec to Explore Privatization on Delisting Risk

By Phoebe Sedgman | Updated on Oct 07, 2026 at 11:22 AM

Oasis Management Co. is stepping up pressure on Nidec Corp., urging the embattled Japanese manufacturer to explore privatization options to protect shareholder interests.

The fund urged Nidec’s board — specifically its outside directors — to independently retain financial advisers and begin soliciting preliminary, non-binding buyout proposals from strategic buyers and global private equity firms, Oasis said in a statement. Oasis also said it’s calling for a review to assess the feasibility and terms of a potential privatization, rather than a decision to proceed with a transaction.

Oasis owns 8% of the manufacturer, and has previously pushed for stronger governance and measures to unlock value.

Nidec’s prolonged accounting crisis has left it at risk of being delisted. Last week, it reported a net loss of ¥564.6 billion ($3.6 billion) due to writedowns in the year ended March 31, while Nidec’s auditor PwC Japan refused to sign off on its financial statements, in the latest turn in an accounting scandal.

Now under the leadership of Michio Kaida, the manufacturer is trying to stave off a delisting and has been under pressure from investors including hedge fund Aspex Management to resolve its financial reporting issues.

Oasis said it has been urging Nidec to consider privatization since December 2025, noting that shareholders could suffer losses if the company were delisted before they had an opportunity to sell shares at a price reflecting its intrinsic value. The firm said the company cannot guarantee an unqualified audit opinion through its own efforts.

Oasis also said a privatization review could serve a broader purpose even if Nidec maintains its listing, by providing external assessments of corporate value as the company develops its medium-term management plan.
